DIR-3 KYC Is Now Once Every Three Years: What Every Director Must Know

MCA has replaced the yearly DIR-3 KYC with a three-year cycle and moved the deadline to 30 June. Here is who needs to file, when, and what still has to be updated within 30 days.

For years, every director in India had to complete DIR-3 KYC by 30 September, every single year. That routine has now changed. The Ministry of Corporate Affairs (MCA) has amended the rules so that routine KYC is required once every three financial years, with a new due date of 30 June.

Here is a clear, practical summary of what has changed and what you need to do.

What has changed?

  • Frequency: Routine DIR-3 KYC is now triennial (once every three financial years) instead of annual.
  • Due date: The filing window closes on 30 June of the applicable year, instead of 30 September.
  • Single form: Filing is done through the unified DIR-3 KYC Web form.
  • Legal basis: The change was made through the Companies (Appointment and Qualification of Directors) Amendment Rules, 2025 (notified on 31 December 2025) and applies from 31 March 2026.

When is my next filing due?

If you completed your DIR-3 KYC under the old annual system for FY 2025-26 and none of your details have changed, your next routine filing is expected in the window of 1 April to 30 June 2028. Directors who received a new DIN during FY 2025-26 should plan for their first periodic KYC in the April–June 2029 window.

Because the transition rules are new, always confirm your exact due date on the MCA portal before relying on it.

The 30-day rule still applies

The three-year cycle is only for routine KYC. If any of your personal details change, you must update them on DIR-3 KYC Web within 30 days, without waiting for the next cycle. This includes:

  • Your personal mobile number
  • Your personal email address
  • Your permanent or present residential address

An update of this kind does not reset your three-year cycle. It needs your digital signature and certification by a practising professional (CA, CS or CMA).

What happens if you miss the deadline?

If KYC is not filed on time, your DIN is marked as "Deactivated due to non-filing of DIR-3 KYC". A deactivated DIN cannot normally be used for MCA filings or new appointments, which can hold up your company's annual returns and other forms.

To reactivate it, you will need to file the KYC and pay a fee of ₹5,000. Reactivation does not remove any separate disqualification a director may face under Section 164 of the Companies Act.

Quick checklist for directors

  1. Note your next routine KYC window (30 June of your applicable year).
  2. Keep your mobile number and email active, since OTP verification is part of the filing.
  3. Report any change in contact details or address within 30 days.
  4. Keep your Digital Signature Certificate (DSC) valid.
  5. Add the deadline to your company's compliance calendar so it is not forgotten after three years.
